                Conversion of Loan Notes and Additional Listing

The Company has received a notice of conversion, in accordance with the Loan
Note Instrument dated 4 June 2004 between Evolution Beeson Gregory Limited and
the Company, to convert #50,000 into 50,000,000 fully paid ordinary shares of
the Company.

The Company will make application for the 50,000,000 new ordinary shares to be
admitted to trading on AIM and admission is expected to occur on 13 July 2004.
