Resignation of director

The Board announced on 29 August 2008 that it was in talks with the board of
SPARK VCT 3 plc regarding a possible merger of the two companies by a
share-for-share exchange under a Scheme of Arrangement. The talks are
progressing and it is expected that a further announcement will be made
shortly.

In connection with the merger it is intended that there should be certain
changes to the structure of the Board. In view of his increasing business
commitments, Mr Rudy Burger has stood down from the Board with immediate
effect. It is proposed that Mr Patrick Seely, currently a director of SPARK VCT
3 plc, should be appointed to the Board upon the merger becoming effective.
