   C Share Conversion and C Share Dividend 
 
   Further to the Company's circular dated 3 July 2015 (the "Circular") and 
the resolutions that were passed by the Company's shareholders at a 
general meeting and a C share class meeting held on 28 July 2015, the 
directors of the Company are pleased to announce that: 
 
 
   1. The C Share Conversion Ratio is 1.175060; 
 
 
   1. On 21 August 2015 the Conversion C Shares will convert to Ordinary Shares 
      at a rate of 1.175060 Ordinary Shares for each C Share, and that a total 
      of 19,809,055 Ordinary Shares will be issued as a result of the C Share 
      Conversion; 
 
 
   1. On 21 August 2015 a payment of 98.0p per C Share will be paid to those 
      Election C Shareholders on the register of members on the Record Date who 
      elected to receive the C Share Dividend.
