Issue of Equity
The Board announces that it has raised GBP400,000, before expenses, from a
placing of 40,000,000 ordinary shares in the capital of the Company at a price
of 1p per share (the "Placing Shares"). The investor has also been granted
options over a further 20,000,000 shares at 1p per share exercisable at any
time before 25 February 2011.
The net proceeds of the Placing, amounting to GBP380,000, will be used primarily
to pay down the loan notes to the sellers of Resilience and to provide working
capital generally.
Application has been made for the Placing Shares to be admitted to trading on
AIM. Admission of the Placing Shares is expected to become effective and
dealings are expected to commence in the Placing Shares on AIM on 28 August
2009. Following the issue of these shares, the Company will have 980,105,031
ordinary shares in issue.
Trading Update
Trading in the nine months to 30 June 2009 has been robust
considering that the market conditions in both the US and the UK have not been
favourable. Several of the Company's existing US and UK customers have reduced
their spending in the last nine months, however, the Board has taken swift
action to reduce costs in order to minimise the effect on the Company's
profitability.
The Board expects that trading in the fourth quarter will be
significantly stronger than the third quarter with Resilience being a major
contributor. Resilience and Nerd Force currently have a strong pipeline of
orders and the Board anticipates that a number of these orders will be
fulfilled in the fourth quarter which would have a material impact on the
Company's financial performance in the year ended 30 September 2009. For these
reasons, the Directors remain cautiously optimistic that the full year's
trading performance, save for any significant movement in the US$ to GBP
exchange rate, will be in line with market expectations.
The Company expects to announce its results for the year ending 30
September 2009 in January 2010.
