Statement to Shareholders



The Board of Directors would like to reassure shareholders, clients and the
public following reports that have appeared in the Zimbabwean public press
concerning the Executive Directors and NMB Bank Limited that the business of the
Bank is intact and the Bank itself is in a sound position.


1)  Press Reports


Contrary to what has been reported in the press neither LTB Money Transfers nor
LTB Finance House are subsidiaries of the Bank and the Bank is not a shareholder
in either company.



2)  Management


On the 1st March 2004 the Board resolved to appoint Dr David T. Hatendi to be
the Acting Managing Director andMr Mario L. dos Remedios the Acting Finance
Director until the current investigations involving the Executive Directors have
been finalised.
