                            CAUTIONARY ANNOUNCEMENT


Over the past twelve months various articles and unattributed statements have
been made with respect to the state of affairs of NMBZ Holdings Limited (NMBZ)
and potential partners.  The Board of NMBZ would like to inform stakeholders of
recent developments:
     
1.   In October 2004, in the wake of rumours and speculation regarding the state 
     of the financial services sector, NMB Bank Limited (NMB or the Bank) 
     experienced liquidity difficulties. NMB successfully negotiated a liquidity 
     support facility from Reserve Bank of Zimbabwe (RBZ) to the extent of $147 
     billion.  It is satisfying to note that as of today, NMB has effectively
     repaid this facility.

2.   Furthermore, management has succeeded in identifying and securing the 
     support of locally based strategic partners who will strengthen the Banks' 
     capital base.  This will create new complementary and mutually beneficial
     business opportunities.

3.   In order to facilitate this new partnership and investment, the Board of 
     NMBZ is pleased to announce that an underwritten Rights Issue will be 
     conducted forthwith.  Attention is drawn to the Extraordinary General 
     Meeting (EGM) notice accompanying this announcement.
     
4.   With the conclusion of this initiative, the business will be 
     re-capitalised, thus assuring the strength of a Zimbabwean bank that will
     continue to provide a professional quality service to our clients, while
     contributing to the national effort to turnaround the economy.

5.   While these are all positive steps for NMBZ; shareholders and the general 
     public are reminded that the financial impact of the expensive liquidity 
     support is expected to reflect in the half-year results to 30th June 2005.
     
6.   Shareholders are urged to consult their professional advisors and continue 
     exercising caution in their dealings in the company's shares.
