                               Additional Listing

On 11 June 2004 the Company issued 69,103 ordinary shares of 25p each ("New
Ordinary Shares") to a vendor of Parson Group, LLC under the terms of the
Membership Interest Purchase Agreement dated 2 May 2002. The New Ordinary Shares
rank pari passu in all respects with the existing ordinary shares in issue.

Application has been made for the New Ordinary Shares to be admitted to the
Official List of the UK Listing Authority and to be admitted to trading on the
London Stock Exchange. It is expected that admission of the New Ordinary Shares
will become effective on 16 June 2004.
