                 Termination of Offer Discussions

The   Board  of  KBC  wishes  to  advise  shareholders  that   the
discussions  referred to in the announcement made on  17  November
1999  have  been  terminated  due to  a  change  of  circumstances
affecting the potential offeror.

The Board expects KBC's preliminary results for the year ended  31
December  1999 to be in line with current market expectations  and
intends to announce these in due course.
