Edge Performance VCT plc (the "Company")

Issue of Equity

The Company published a tender offer document on 18 January 2013 in respect of an enhanced share buy-back offer under which holders of C shares of 10p each in the capital of the Company (the "C Shares") could apply to sell existing C Shares back to the Company with the proceeds used to subscribe for new C Shares (the "Offer").

The Offer closed to further applications on 26 April 2013 in respect of the 2013/14 tax year. On 1 May 2013, the Company announced the allotments, purchases and cancellations of C Shares under the Offer in respect of the 2013/14 tax year.

The Company had received an application under the Offer before the closing date, which, for administrative reasons, had not been included in the allotments, purchases and cancellations effected on 1 May 2013.

The Company has now been able to process that application in accordance with the terms and conditions of the Offer. The Company therefore announces that, on 25 October 2013:

-- 244,000 existing C Shares of 10p each in the Company were purchased by the Company, at a purchase price of 34.31p per C Share, and were cancelled; and

-- 238,072 new C Shares of 10p each in the Company were allotted and issued, at an issue price of 35.34p per C Share.

The Company confirms that all valid applications to participate in the Offer which it has received have now been satisfied.

Following the allotment, issue, purchase and cancellation described above, the Company's issued share capital is as follows:
