Edge Performance VCT plc (the "Company")

Issue of Equity

The Company announces that, pursuant to the Company's enhanced share buy-back offer, under the terms of its tender offer document dated 18 January 2013:

-- 495,107 existing C Shares of 10p each in the Company were purchased by the Company on 1 May 2013, at a purchase price of 34.31p per C Share, and were cancelled; and

-- 483,430 new C Shares of 10p each in the Company were allotted and issued on 1 May 2013, at an issue price of 35.34p per C Share.

Following the allotments, purchases and cancellation described above, the Company's issued share capital is as follows:

The Company announces that, following the transactions above, the enhanced share buy-back offer is now closed.
