Edge Performance VCT plc (the "Company")

Conversion of new C shares to I shares

3,670,864 new C Shares were admitted to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange plc's main market for listed securities on 29 October 2012.

In accordance with the Company's enhanced share buy-back offer document published on 9 July 2012, and with the new articles of association adopted at a general meeting of the Company held on 6 August 2012, those new C Shares were converted to I Shares in the Company, by reference to the net asset values per C Share and I Share, 74.68p and 92.26p respectively, on 29 October 2012.

Accordingly, the new C Shares were converted to, in aggregate, 2,971,333 I Shares, each with an initial NAV of 92.26p.

Application is now being made for the admission of these I Shares to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange plc's main market for listed securities, which is expected to take place at the earliest practical opportunity.

Following this conversion, the issued share capital of the Company is 9,393,438 C Shares, 19,172,500 D Shares, 9,801,952 E Shares, 29,379,532 F Shares, 24,056,803 G Shares, 2,187,825 H Shares and 15,397,565 I Shares.
