The Company has published a circular to shareholders (the "Circular") in connection with the recommended proposals relating to the:

   --      Authority to allot C Shares

-- Authority to make market purchases of C Shares in connection with a tender offer and enhanced share buy-back

   --      Authority to issue C Shares on a non-pre-emptive basis 
   --      Adoption of new Articles of Association 
   --      Notices of General Meeting and Class Meetings.
