Edge Performance VCT plc (the "Company")

Offer for subscription of up to 10,000,000 I Shares of 10p each in the capital of the Company at an issue price of 100p each payable in full on subscription (the "I Share Offer")

Issue of Equity

The Directors of the Company are pleased to announce that, in accordance with the terms of the I Share Offer, as set out in the prospectus dated 24 November 2011 (the "Prospectus"), 3,002,944 I Shares of 10p each in the Company were allotted on 2 April 2012 at a price of 100p per I Share

Following this allotment, the issued share capital of the Company is 13,294,697 C Shares, 19,228,838 D Shares, 9,813,732 E Shares, 29,411,437 F Shares, 24,153,303 G Shares, 1,590,896 H Shares and 11,272,898 I Shares.

Application has been made for the admission of the I Shares to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange plc's main market for listed securities, which is expected to take place at the earliest practical opportunity.

Extension of Closing Date of I Share Offer

The Directors of the Company are also pleased to announce that, in accordance with the terms of the I Share Offer, as set out in the Prospectus, they have exercised their discretion to extend the closing date for applications under the I Share Offer.

Applications under the I Share Offer in respect of the 2011/12 tax year may now be made until 5.00pm on 5 April 2012.

Applications under the I Share Offer in respect of the 2012/13 tax year may continue to be madeuntil 3.00pm on 8 June 2012 (unless previously brought forward or extended by the Directors).
