Result of EGM and Purchase of Own Securities

On 28 November 2002 notice was given to shareholders that an Extraordinary
General Meeting ("EGM") would be held on 20 December 2002 to consider specific
off market purchases by Andrews Sykes Group plc (the "Company") of its own
shares.


At the EGM held today, the special resolution to approve these off market
purchases was duly passed.



Pursuant to the authority granted at the EGM, the Company hereby gives
notification that off market purchases for cancellation of, in aggregate,
8,477,931 Ordinary Shares of 20p each were made today at a price of #1.40 per
share.



The issued share capital of the Company is now 60,221,341 Ordinary Shares.
