Item 8.01 Other Events

On February 13, 2023, we issued a press release concerning the incorporation of our new subsidiary, Hyperion Defence Solutions, and the employment of Chris Derbyshire and Tim Grey in the new company. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

Hyperion Defense Solutions has been incorporated in the United Kingdom. The company aims to provide effective capability through technology that protects the warfighter and the communities served by warfighters. Through strategic acquisitions, building strong partnerships, and leveraging a comprehensive network of trusted military veterans from both regular and Special Operations Forces (SOF), Hyperion provides their customers with a range of solutions that meets their specific requirements. Hyperion currently delivers capability in the areas of Joint Close Air Support (JCAS), Counter Improvised Explosive Device (CIED), Security Risk Management and Simulation to the global defense sector.
