  ACQUISITION PROVIDES XPERTISE WITH A STRONG CUSTOMER BASE IN THE SOUTH EAST



Xpertise announces that on 27th July 2002 it completed the acquisition of
certain key assets of John Bryce Training UK Ltd ("John Bryce") (formerly Aris
Education) from the receivers, BDO Stoy Hayward.  Xpertise has acquired the
goodwill, intellectual property rights, customer contracts and some fixtures,
fittings and other assets from John Bryce, free of all debt and liabilities.
The total consideration of up to £190,254 is payable in cash on completion.



John Bryce was recently named as the 19th biggest IT training company in the IT
Skills Research league table of The Top 50 UK IT Training Providers of 2002
(Source: IT Skills Research/Pardo Fox Ltd) and the acquisition will enable
Xpertise to offer its leading edge training courses in London and the South
East. In the twelve month period ended 31st December 2001, John Bryce reported
in its management accounts sales of £7.7 million, however the Directors of
Xpertise recognise that the business had suffered a significant decline in
turnover since that date.

The acquisition brings together two companies that have been appointed
Microsoft's top European training partner with John Bryce winning the coveted
CTEC Partner of the Year award 2000 followed by Xpertise winning the 2002 award.
