Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
On June 13, 2019, the Board of Directors of Dow Inc. (the
“Board”) expanded the size of the Board from ten to eleven members, and appointed Samuel R. Allen to the Board, effective August 1, 2019.
Mr. Allen will serve on the Compensation and Leadership Development Committee and the Corporate Governance Committee.
There is no arrangement or understanding between Mr. Allen and any other person pursuant to which Mr. Allen was selected as a
director of the Company. There are no transactions in which Mr. Allen has an interest requiring disclosure under Item 404(a) of Regulation
S-K.
On June 13, 2019, Dow Inc. issued a press release announcing the new director. A copy of the press release is attached hereto as Exhibit
99.1.
