On November 14, 2022, the Board of Directors (the
“Board”) of Mullen Automotive Inc. (the “Company”) approved a third amendment (the “Third Amendment”)
to the Company’s Amended and Restated Bylaws that amends the quorum for a stockholders’ meeting or action to be at least 33
1/3% of the shares of the capital stock of the Company issued and outstanding and entitled to vote, present in person or represented by
proxy.
