Item 2.02    Results of Operation and Financial Condition.

On July 7, 2022, Helen of Troy Limited (the “Company”, “our”, “we” or “us”) issued a press release announcing the results for its first quarter of fiscal 2023.  With this Form 8-K, we are furnishing a copy of the press release (attached hereto as Exhibit 99.1).  The press release is also provided on the Investor Relations Page of our website at: http://www.helenoftroy.com.  The information contained on this website is not included as a part of, or incorporated by reference into, this report.

As a matter of clarification, Mr. Mininberg stated in his response to a question during the question and answer portion of the Company’s first quarter fiscal 2023 earnings call that for the Company’s Health & Wellness segment the expectations for the rest of this fiscal year and the outlook that the Company has provided is 9% above the pre-pandemic level in the category. Consistent with Mr. Mininberg’s prepared remarks made during the earnings call, this statement should have been that even with the impact of the EPA matter, on an historic basis, the Company’s Health & Wellness segment sales were up 9% in the first quarter of fiscal 2023 versus the pre-pandemic levels in the first quarter of fiscal 2020.
