Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 3, 2010, the Compensation Committee of the Board of Directors of Delta Petroleum Corporation set the target bonus amounts for 2011 under its performance-based annual incentive plan. The plan provides for a target bonus amount expressed as a percentage of a participant’s base salary. For 2011, Carl Lakey, our chief executive officer, will have a target bonus of 150% of base salary, compared to a target bonus of 70% of base salary for Mr. Lakey in 2010. There has been no change in the target bonus percentage of 70% of base salary for our other executive officers for 2011.
