Explanation of Responses:
( 1)  The option vests at the rate of 25% of the shares subject to the option on the first anniversary of the date of grant, and 1/48th of the shares subject to the option each month thereafter, subject to the reporting person's continued service to the company.
( 2)  On November 18, 2010, pursuant to the issuer's option exchange program, the issuer canceled an option for 72,916 shares of BBND common stock granted to the reporting person on November 1, 2006. In exchange, the reporting person received 24,306 restricted stock units.
( 3)  The option vests at the rate of 1/48th of the shares subject to the option each month following the date of grant, subject to the reporting person's continued service to the company.
( 4)  On November 18, 2010, pursuant to the issuer's option exchange program, the issuer canceled an option for 24,375 shares of BBND common stock granted to the reporting person on December 9, 2007. In exchange, the reporting person received 11,458 restricted stock units.
( 5)  On November 18, 2010, pursuant to the issuer's option exchange program, the issuer canceled an option for 24,480 shares of BBND common stock granted to the reporting person on March 13, 2008. In exchange, the reporting person received 8,160 restricted stock units.
( 6)  On November 18, 2010, pursuant to the issuer's option exchange program, the issuer canceled an option for 30,000 shares of BBND common stock granted to the reporting person on August 12, 2008. In exchange, the reporting person received 12,000 restricted stock units.
( 7)  Each restricted stock unit represents a contingent right to receive one share of BBND common stock.
( 8)  The restricted stock units vest as to 1/3 of the shares on the dates that are 9 months, 18 months and 27 months from the date of grant. Vested shares will be delivered to the reporting person on or about each such vesting date.
( 9)  The restricted stock units vest as to 1/12 of the shares each quarter from the date of grant. Vested shares will be delivered to the reporting person on or about each such vesting date.
( 10)  The restricted stock units vest in eight (8) equal semi-annual installments beginning on November 19, 2009. Vested shares will be delivered to the reporting person on or about each such vesting date.
( 11)  The restricted stock units vest in six (6) equal semi-annual installments beginning on November 19, 2009. Vested shares will be delivered to the reporting person on or about each such vesting date.
