Explanation of Responses:

1. On the Form 4 filed on May 30, 2023 on behalf of Mr. Caldini, the total number of securities beneficially owned following the reported transaction was misreported due to a clerical error. The correct amounts for that report were 179,125 Class D Subordinate Voting Shares and 1,072,284 Class E Subordinate Voting Shares. These amounts have been corrected in today's report.

2. Consists of shares withheld by the Issuer to satisfy the tax withholding obligations of the reporting person arising in connection with the delivery of shares pursuant to an equity plan administered by Acreage Holdings, Inc.
