NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR or the transition report or portion thereof, could not be filed within the prescribed time period.

NioCorp Developments Ltd. (the “Company”) recently consummated a business combination transaction with GX Acquisition Corp. II (“GX”). The high level of complexities in integrating GX and accounting for the business combination has resulted in a delay the Company’s financial reporting and closing process for the quarterly period ended March 31, 2023. Accordingly, the Company is unable to file its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2023 (the “Form 10-Q”) within the prescribed time period without unreasonable effort or expense. The Company expects to file the Form 10-Q within the time period prescribed in Rule 12b-25 promulgated under the Securities Exchange Act of 1934.
