The Registrant was unable to file its annual report on Form 20-F for the year ended December 31, 2021 (the “Form 20-F”) within the prescribed time period without unreasonable effort or expense due to COVID-19 pandemic related delays resulting in additional time required to complete the audit of the Registrant’s financial statements. The Registrant expects to file the Form 20-F no later than the fifteenth calendar day following the prescribed due date.

The Registrant has made a preliminary determination of the results of operations, which are subject to change prior to filing the annual report on Form 20-F.

 

The Registrant’s total revenue for the year ended December 31, 2021, was approximately $160.2 million, representing an increase of approximately $118.0 million, or 280%, from $42.2 million for the year ended December 31, 2020, with increases in both revenue from financial service and revenue from supply chain sales. The increase in the Registrant’s revenue was primarily attributable to its ability to expand its business, acquire higher quality customers and achieve a higher customer retention. Gross profit from continuing operations was approximately $54.0 million for the year ended December 31, 2021, representing an increase of approximately $31.8 million, or 143%, from $22.2 million for the year ended December 31, 2020. The increase in the gross profit was primarily attributable to the increased sales from its financial services business which had an increase in demand from SME enterprises to seek financing solutions. The Registrant is in the process of finalizing its financial statements. Notwithstanding the result of its determination, the Registrant expects to have significant increases in the results of operations for the year ended December 31, 2021 compared to that of 2020.
