                      Woolworths Group plc ("the Company")

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for a total of 424,052 ordinary shares of 12.5p each
("shares") to be admitted to the Official List.

It is expected that admission will be granted on 18 November 2004 and trading
will commence on 19 November 2004.

These shares are being issued as a result of the exercise of share options under
the Woolworths Group Sharesave Scheme (44,717 shares) and the Woolworths
Executive Share Option Scheme (379,335 shares).

These shares will rank pari passu with the existing issued ordinary shares.
