As detailed in today's announcement by the Office of Fair Trading ("OFT"),
Woolworths Group plc ("Woolworths") has entered into "hold separate"
undertakings with the OFT in respect of the completed acquisition of Bertram
Group Limited, whilst the OFT completes its review of the acquisition.

Woolworths notes that it is increasingly routine for the OFT to require "hold
separate" undertakings of this kind in the context of completed acquisitions.

Woolworths will co-operate fully with the OFT's ongoing review.
