THE MILLER GROUP LIMITED: RESPONSE TO CITY SITE ESTATES
ANNOUNCEMENT



The  Board  of the Miller Group Ltd ("Miller") notes  the
announcement  made  today  by  Woodvale  Estates  Limited
regarding  its  offer  ("the  Woodvale  Offer")  for  the
ordinary shares of City Site Estates plc ("City Site").

Miller  confirms that, since the Woodvale Offer  has  now
been declared unconditional and hence will not lapse, one
of  the essential pre-conditions to the approximately  35
per  cent higher offer from Miller being posted  to  City
Site  shareholders has not been satisfied.   Accordingly,
the  higher Miller Offer will not be posted to City  Site
shareholders.
