City Site Estates plc - Announcement by Independent Directors

Following comments in the Scottish press today, the Independent Directors wish
to make it clear that the irrevocable undertakings by the Independent
Directors to accept the Woodvale offer were granted prior to the Woodvale
offer being made.  The acceptances pursuant to these undertakings may be
withdrawn at the discretion of the Directors if a higher offer is made for
City Site Estates before the Woodvale offer becomes unconditional.
