Explanation of Responses:
( 1)	The reported transaction involves a grant, pursuant to the Employment Agreement by and between the Company and the Reporting Person, dated as of May 15, 2012, as amended and restated effective October 18, 2012, to the Reporting Person of options to purchase 500,000 shares of the Company's common stock, $.001 par value per share, at an exercise price of $1.50 per share, which options shall vest beginning on May 15, 2013 in annual installments of 100,000 options over a five year period.
( 2)	The term of the options is the lesser of (a) ten (10) years, measured from the date immediately preceding the date on which the options were granted, or (b) seven (7) years from the applicable date of vesting.

Remarks:
This amendment is filed solely to amend the description of the option term in item 2 above to conform with the amended option term set forth in the Reporting Person's amended and restated employment agreement.
