SAN FRANCISCO, Feb. 25 /PRNewswire-FirstCall/ -- KKR Financial Holdings LLC (the "Company") (NYSE:KFN) announced that it plans to file a shelf registration statement on Form S-3 (the "Registration Statement") with the Securities and Exchange Commission on or prior to March 24, 2008. This Registration Statement will cover resales by the holders of $300 million aggregate principal amount of the Company's 7.000% Convertible Senior Notes due 2012 (the "Notes") that were issued on July 23, 2007 and the Company's common shares issuable, under certain circumstances, upon conversion of the Notes. The Company has not determined the exact date on which the Registration Statement will be filed, but anticipates that the Registration Statement will become effective automatically upon filing.
