NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.  (Attach extra sheets if needed.)

On April 15, 2016, Xura, Inc. (the “Company”) filed with the SEC a Form 12b-25, Notification of Late Filing, indicating that it was not able to file its Annual Report on Form 10-K for the fiscal year





ended January 31, 2016 (the “Form 10-K”) within the prescribed time period without unreasonable effort or expense. At that time, the Company expected that the Form 10-K would be filed on or before the fifteenth calendar day following the prescribed due date (the “Extension Period”).

The Company was unable to complete and file the Form 10-K within the Extension Period due to additional delays resulting from the Company’s ongoing review of accounting matters relating to income taxes and evaluation of the implications on its controls. The Company's management and the Company’s financial reporting, accounting and tax personnel are also engaged in ongoing negotiations for the potential sale of the Company at a purchase price of $25 per share.  As of the date of this filing, the Company has not entered into any agreement in principle or any other definitive agreement to sell the Company and there can be no assurance that such negotiations will ultimately result in a transaction.  The Company is working diligently to complete the work necessary to file the Form 10-K and intends to file such report as soon as practicable.

The Company furnished on April 15, 2016 a Current Report on Form 8-K which included a press release (the “Press Release”) disclosing estimated preliminary unaudited results for the three months





and fiscal years ended January 31, 2016 and 2015 and cash information as of January 31, 2016 (the “2015 Information”). The 2015 Information set forth in the Press Release is incorporated herein by reference.
