Explanation of Responses:
(1)	Pursuant to the Reporting Person's employment agreement, 10,000 shares of the Issuer's common stock vested as of October 12, 2021. In addition, he will receive another 50,000 shares of common stock with the following vesting schedule: 10,000 as of April 12, 2022, 10,000 shares as of October 12, 2022, 10,000 shares as of April 12, 2023, 10,000 shares as of October 12, 2023, and 10,000 shares as of April 12, 2024.
(2)	4,371 shares withheld by the Issuer to satisfy the tax withholding obligation applicable to the vested shares of common stock described in footnote (1) above.
