Explanation of Responses:
(1)	Atlas Financial Holdings, Inc. issued its executive officers restricted shares, the vesting of which was linked to the book value of the company's stock over a 5 year period. A portion of these shares did not qualify for vesting during the subject period and therefore were classified as unvested at the end of the award period of 3/12/2020. As a result of the unvested nature and the tolling of the award period these shares were cancelled as of 3/12/2020 to authorized and unissued accordingly.
(2)	Pursuant to grant. Cost basis zero.
(3)	Atlas Financial Holdings, Inc. issued its executive officers stock options, the vesting of which was linked to the book value of the company's stock over a 5 year period. A portion of these options did not qualify for vesting during the subject period and therefore were classified as unvested at the end of the award period of 3/12/2020. As a result of the unvested nature and the tolling of the award period these options are cancelled as of 3/12/2020.
