Wells Fargo & Company Issues Reminder Regarding Expiration of Common Stock Warrants

Wells Fargo & Company (NYSE: WFC) today issued a reminder to
warrant holders that the Company’s publicly traded warrants to
purchase common stock (NYSE: WFC WS) are set to expire on Sunday,
Oct. 28, 2018. Because the expiration date is not a trading day on
the NYSE, warrants will be exercisable until the Depository Trust
& Clearing Corporation’s (DTCC) cutoff time for exercises on
Monday, Oct. 29, 2018. The NYSE has notified the Company that it
will suspend trading in the warrants after the close of trading on
Oct. 24, 2018 so that all trades can be settled by Oct. 29,
2018.
The warrants were originally issued to the U.S. Treasury
Department in Oct. 2008 and were sold to the public in an auction
process in May 2010. As of Oct. 11, 2018, there were approximately
10.3 million warrants outstanding. The warrants have an exercise
price of $33.592 per share.
A warrant holder can obtain further information on exercising
the warrants by contacting their broker or Equiniti Trust Company,
the Company’s warrant agent. Any warrant not exercised prior to the
cutoff time on Oct. 29, 2018 will expire and be canceled, and the
holder will not receive any shares of Wells Fargo & Company
common stock.
