Item 2.02.

Results of Operations and Financial Condition

On April 3, 2017, Lilis Energy, Inc. (the “Company”) issued a press release announcing information regarding the Company’s continued results of its drilling and completion operations as well as the completion of the divestiture of its oil and gas properties located in the DJ Basin. A copy of the press release is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
