SELLING STOCKHOLDERS
The selling stockholders acquired the common
stock being registered for resale pursuant to this prospectus, and the warrants related thereto, pursuant to a contractual agreement
or as remuneration for services rendered and/or as equity compensation, as detailed below:
On August 10, 2016, we entered into
an agreement, or the Agreement, with Dicilyon Consulting and Investment Ltd., an existing stockholder, or the Stockholder,
and David Edery, an individual that serves as Chairman of, and controls, the Stockholder. The Stockholder had previously
purchased certain of our securities and was granted certain registration rights which required, among other things, the
continued effectiveness of certain registration statements covering resales of certain shares of common stock beneficially
owned by the Stockholder. Pursuant to the Agreement, in consideration of the Stockholder waiving its registration rights with
respect to certain previously purchased securities, we agreed to issue to the Stockholder a warrant, or the Warrant, to
purchase 300,000 shares of our common stock at an exercise price of $4.50 per share exercisable for a period of 4.5 years
from the date of the Agreement. Erez Raphael, our Chairman and Chief Executive Officer, holds sole voting and dispositive
power over our shares held by Dicilyon Consulting and Investment Ltd. pursuant to an irrevocable proxy executed by the
Stockholder on March 1, 2016.
On June 23, 2016, we issued an aggregate
of 6,024 shares of our common stock to three of our directors in lieu of cash payments, pursuant to our previously adopted shares
for salary program. On August 1, 2016, we issued an aggregate of 6,558 shares of our common stock to three of our directors in
lieu of cash payments, pursuant to our previously adopted shares for salary program.
On September 23, 2014, we entered into and
closed the transactions contemplated by a definitive securities purchase agreement, or the September 2014 Securities Purchase Agreement.
The lead investor in such transactions was the Stockholder. Pursuant to the September 2014 Securities Purchase Agreement, Mr. Edery
and his controlled affiliates were granted certain special rights, including, among other things, (i) a two year pre-emptive right
to participate in our future financings, subject to certain exceptions, in an amount which would allow Mr. Edery to maintain his
fully-diluted percentage ownership of the Company, and (ii) a right that, for so long as Mr. Edery holds 25%, 15% and 10% of the
outstanding shares of our common stock, Mr. Edery shall have the right to appoint, respectively, three, two or one member of our
Board of Directors. The preemptive rights were waived in connection with our public offering conducted in March 2016 and Mr. Edery
waived his director nomination rights effective February 28, 2016.
Other than the relationships described herein,
to our knowledge, none of the selling stockholders are employees or suppliers of ours or our affiliates. Within the past three
years, other than the relationships described herein, none of the selling stockholders has held a position as an officer or, in
the case of the Stockholder, as a director of ours, nor has any selling stockholder had any material relationship of any kind with
us or any of our affiliates, except that certain selling stockholders acquired shares of our common stock and warrants and registration
