WePower, LLC disposed of 8,202,239 shares of PRHL as partial consideration under a Compromise Agreement and Mutual Release dated March 4, 2014. In addition, WePower, LLC discloses that between December 31, 2012 and May 9, 2013, it sold 602,231 shares of PRHL for net proceeds of $56,862.68 under the safe harbor of Rule 144 and did not make timely filings on Form 4 to report the sales.
