Golden Spirit Enterprises Ltd. (OTCBB: GSPT) announces that the Company has signed a Memorandum of Understanding with Tectane Technologies Corporation (Tectane), a Montreal-based Company in the Alternative Fuel industry for over 30 years.

The MOU outlines the plan for Golden Spirit to acquire all world-wide patents and patents pending technologies relative to Tectane's AQUAGAS, AQUAHOL Alternative Energy System and New Dual H2O Engine Oxygenerator.

AQUAGAS & AQUAHOL Alternative Energy System, is a Retro-Fit Engine Kit, that enables conventional engines (80% of the Market) to operate on inexpensive gasoline as low as 75 octane, or Low Grade Alcohols (Ethanol or Methanol). The Kit can be installed in 2 hours and costs less than $300. The kits consist of an Internationally Patented H20 Injection Catalyst, that injects ordinary water directly into the combustion of the engine, but only upon acceleration, thereby using only a small amount of water (1/10 ratio). A supplementary 5 gallon tank is installed in the trunk of the car. Adjustments are made to reduce the gasoline flow, with specification changes to the Knock Sensor, Oxygen Sensor and Air Mass Flow.

The system has been rated # 1 in the Top 100 - Fuel Efficiency Category of PESWIKI - Pure Energy Systems, the leading Consumers Report on Green Technologies. The U.S. Department of Agriculture - Feature Bulletin # 771-80 states that Tectane's Aquahol is "800% more efficient, than the current mandated Gasohol blend of 90% gasoline and 10% ethanol." The U.N. Trade & Development - New Commodities Division, recommended its use in their 1994 report, on new potential commodities with positive environmental impacts.

TECTANE'S HISTORY

On May 9th, 1979 Tectane Doubled the Gas Mileage on a Florida Police Car. It received Major News. The Quaker State Franchisee of Florida, Ross Oil, became a Distributor and over 10,000 kits were sold, until the Car Manufacturers developed Electronic Computers to control engine specifications. Codes for specification changes were not made available to Dealers, thereby preventing Tectane, from modifying the required engine specifications.

It was only in year 2007 that Tectane developed a Computer By Pass System to change specifications. International Patents were filed in 2008, by one of the Leading Canadian Patent Firms -- ROBIC.

A Feasibility Study conducted by Price Waterhouse in L.A., California in 1994 concluded that Tectane would have huge success, once Environmental Mandates are demanded. In addition, the MOU states that the Company also has the right to acquire the fully integrated Sweet Sorghum ethanol production alternative food supply and housing system, which includes the New Train Distillation and New Ship Co-Generation Distillation Systems. The Company will issue a combination of cash and stock in two phases for the acquisition. The Company is working on a formal agreement with Tectane to complete this acquisition as soon as possible.
