Issue of Equity

Offer for subscription of up to GBP10,000,000 of D Shares of 25p each (the "Offer")

The Directors of Ventus 2 VCT plc ("the Company") announce that, in accordance with the terms of the Offer dated 19 November 2013, 378,662 D shares were allotted in the Company on 3 June 2014 at a price of 100 pence per share.

Following the allotment there are now 24,392,655 ordinary shares, 11,329,107 C shares and 1,991,990 D shares in issue of the Company.

Application is being made for the admission of the 378,662 D shares to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities, which is expected to take place on or around 17 June 2014.
