ISSUE OF EQUITY

Ventus 2 VCT plc announces that, at two board meetings held on 5 April 2006, a
total of 6,330,282 Ordinary Shares of 25 pence each were issued and allotted at
a price of 100 pence per share pursuant to its Offer for Subscription with
respect to the 2005/06 tax year.  Following these allotments, the issued share
capital of the Company is 10,341,330 Ordinary Shares.

The Offer for Subscription with respect to the 2006/07 tax year remains open
until 31 May 2006 unless closed or extended before that time.

Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.
