ISSUE OF EQUITY

Ventus 2 VCT plc announces that at a board meeting held on 21 March 2006,
1,672,709 Ordinary Shares of 25 pence each were issued and allotted at a price
of 100 pence per share pursuant to its Offer for Subscription. Following this
allotment, the issued share capital of the Company is 4,011,048 Ordinary Shares.

The Offer for Subscription remains open until 31 May 2005 unless closed or
extended before that time.

Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.
