Reed Health Group PLC ("the Company")

The Company received notification on 4 October 2001 that Schroder Investment
Management Limited ("SIML"), has an interest in 2,225,000 listed ordinary
shares in the Company ("Ordinary Shares") which are held in portfolios managed
on a discretionary basis for clients of SIML under investment management
agreements.

SIML's aggregate interest represents 9.89 per cent. of the Ordinary Shares and
represents 4.97 per cent. of the Company's issued share capital which, in
addition to the Ordinary Shares, also includes 22,241,400 unlisted 'B'
ordinary shares.

Included in SIML's holding are:-

(i) 1,675,000 Ordinary Shares held in (a) unit trust(s) operated and
    managed by another wholly-owned subsidiary nominee company, Schroder Unit
    Trusts Limited, and registered or to be registered in the name of Chase
    Nominees Limited; and

(ii)550,000 Ordinary Shares registered in the name of Imperial
    Pensions.

In addition to the above, an affiliated company, SIM North America Inc, is
managing a portfolio holding a further 250,000 Ordinary Shares.

SIML and affiliated companies are therefore interested in an overall aggregate
of 2,475,000 Ordinary Shares which represents 11.00 per cent. of the Company's
Ordinary Shares and 5.53 per cent. of the Company's issued share capital.
