THE PHOENIX IT GROUP PERFORMANCE SHARE PLAN 2004

This notification is made in accordance with DTR 3.1.4(1)(a) and (c).

On 14(th) August 2012, the following awards ("Awards") over ordinary shares in the Company were made under the Phoenix IT Group Performance Share Plan 2004 (the "Plan") to Directors of the Company and other Persons Discharging Managerial Responsibility (together "PDMRs"):
