               Phoenix IT Group plc ("Phoenix" or the "Company")

                     Declaration of second interim dividend


Further to the announcements made by Phoenix on 28 March 2007 and 25 April 2007
with respect to its proposed cash and share offer for ICM Computer Group plc
(the "Offer"), the Board of Phoenix is pleased to announce that a second interim
dividend of 3.174p per share will be paid on 15 June 2007 to Phoenix
shareholders on the register on 18 May 2007. Any new Phoenix shares issued under
the Offer will not be entitled to the second interim dividend.  This represents
a 15% increase on the last final dividend paid in respect of the financial year
ended 31 March 2006.  Accordingly there will be no final dividend declared in
respect of Phoenix's financial year ended 31 March 2007.
