DIRECTORS' SHAREHOLDINGS
The Company was informed on 27th April 2004 of the following transactions in
the ordinary shares of 1p each in the capital of the Company ("Ordinary
Shares");
On 27th April 2004 the Trustees of the A W Hewitt Family Settlement Trust
purchased 14,200 Ordinary Shares at a price of 37p pence. Mr A W Hewitt is the
Group Chairman.
Following this transactions Mr. A W Hewitt's total beneficial and non
beneficial holding in the Company is 10,336,950 Ordinary Shares representing
52.7 per cent. of the Company's total issued share capital.
On 27th April 2004, Mr Charles Bithell, Finance Director, purchased 2,844
Ordinary Shares at a price of 37p pence.
Following this transactions Mr Bithell's total beneficial and non beneficial
holding in the Company is 27,844 Ordinary Shares representing 0.14 per cent. of
the Company's total issued share capital.
On 27th April 2004, Mr Andrew Holt, a Director, purchased 2,843 Ordinary Shares
at a price of 37p pence.
Following this transactions Mr Holt's total beneficial and non beneficial
holding in the Company is 4,843 Ordinary Shares representing 0.02 per cent. of
the Company's total issued share capital.
On 27th April 2004, Ms Sarah Kling, a non-executive Director, purchased 2,843
Ordinary Shares at a price of 37p pence.
Following this transactions Ms Kling's total beneficial and non beneficial
holding in the Company is 2,843 Ordinary Shares representing 0.01 per cent. of
the Company's total issued share capital.

Parkwood Holdings plc specialises in providing outsourced service to the public
sector across England and Wales under long term contracts. Its three main areas
of operation are as follows:
* Glendale - The management of parks and open spaces for a predominantly
local authority client base. This operation is currently being expanded
into related "green" businesses under the "Think Green - Think Glendale"
strapline.
* Parkwood Leisure - The management of a diverse range of leisure facilities,
again predominantly for local authority clients. This Division is also the
operator or provider of services under most of the Group's contracts won
under the PFI/PPP procurement process.
* Parkwood Healthcare - The provision of non emergency patient transport to
NHS Trusts under the "National Ambulance Service" banner, together with the
provision of nurses on an agency basis to both NHS Trusts and the private
sector.
* Parkwood PFI Projects - The provision of PFI, PPP and other similar bids on
behalf of Joint Ventures and the Group, generating long term operating
business. This division is also responsible for the project management of
contracts on behalf of the Group's associates and JVs and management of
other funds such as the lifecycle funds associated with the project
agreements.
