the market of the following:

Parkwood Holdings plc's capital consists of 19,290,420 Ordinary shares with a
nominal value of 1 pence each, with voting rights. Parkwood Holdings plc holds
131,250 Ordinary shares in Treasury.

 Therefore, the total number of voting rights in Parkwood Holdings plc is
19,159,170.

The figure of 19,159,170 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Parkwood Holdings plc under the
FSA's Disclosure and Transparency Rules.
