#2.3 million acquisition for Metalrax Group

Metalrax Group PLC today announces that it has acquired the entire issued
share capital of Samuel Groves & Co Limited ("Samuel Groves") from Towerflame
Limited, a wholly owned subsidiary of US based Applied Power Inc ("APW").

Birmingham based Samuel Groves is a UK market leader in the manufacture and
supply of high quality food service equipment and utensils to the professional
food services market.  Its products include the 'Mermaid' bakeware, 'Pyramid'
ranges of cookware and 'Le Buffet' range of designer serving utensils.

The consideration is #2.307m paid in cash, which includes #474,000 for the
repayment of loan notes.

The existing management of Samuel Groves will remain with the company.

Samuel Groves has made a pre-tax profit marginally above break-even since
being demerged earlier this year from a division within the APW group and has
net assets of #2.033m at the date of completion.

The acquisition of Samuel Groves will further extend the product range and
customer base of the Metalrax Housewares Division, after its recent
acquisition of Microwise Cookware Limited.
