                          LIPOXEN PLC (the "Company")
                               Issuance of Shares

The Company has issued an aggregate of 1,296,890 ordinary shares of 0.5p to two
former employees of the Company pursuant to the exercise of share options
granted by the Company in 2002. The new ordinary shares will rank pari passu in
all respects with the existing issued ordinary share capital of the Company.

Application has been made to the London Stock Exchange for these shares to be
admitted to trading on AIM and admission is expected to become effective on 2
August 2006.
