UK Limited ("Raisio UK"), a company owned by Raisio Oyj
Scheme of Arrangement Becomes Effective
In respect of Raisio UK's proposed acquisition of Glisten by way of Scheme of
Arrangement as announced on 10 February 2010 and as approved by Scheme
Shareholders at the Court Meeting and by Glisten Shareholders at the General
Meeting both held on 12 March 2010, Glisten announces that the Scheme has now
become fully effective following delivery of Court Orders (together with the
Statement of Capital attached thereto) to the Registrar of Companies yesterday.
Glisten also announces that as referred to in the circular containing the Scheme
that was sent to Glisten Shareholders on 17 February 2010, it has received
notice that the Independent Directors, David Wallis and Angela Megson, have
resigned from the Glisten Board with immediate effect.
Cancellation of the admission to trading of Glisten Shares on the AIM market of
the London Stock Exchange became effective from 7.00 a.m. today. Holders of
Scheme Shares are entitled to receive 140 pence for each Scheme Share held by
them at the Scheme Record Time (6.00 p.m. (London time) on 7 April 2010).
The consideration due to Scheme Shareholders will be sent no later than 22 April
2010.
Capitalised terms used but not defined in this announcement have the same
meanings as given to them in the circular containing the Scheme that was sent to
Glisten Shareholders on 17 February 2010.
