                              NOTICE OF EGM


In the Company's interim results announcement, released to the market on 27
November 2007, the directors announced their intention to change the Company's
name to Fairpoint Group plc.

A circular convening an Extraordinary General Meeting, at which a resolution to
effect the name change will be put to shareholders, was posted to shareholders
on 28 November 2007.

The EGM will be held at Fairclough House, Church Street, Adlington, Lancashire,
PR7 4EX at 11.00 a.m. on 21 December 2007.
